Common documents for a Nepali-founded company

- the prescribed company-registration application;
- Memorandum of Association in the applicable format;
- Articles of Association where required;
- citizenship or other accepted identity documents of founders/shareholders;
- details of the registered office;
- information on proposed directors;
- authorization documents where someone acts on behalf of a founder;
- prior licence or approval where the proposed activity requires one.
If a founder is an existing Nepali company or other legal entity, OCR requires additional corporate documents such as its registration certificate, a board decision approving the investment, information on the amount and manner of investment, and identification of the authorized representative.
Foreign founders
Where a foreign person or foreign legal entity will invest, additional documents and prior foreign-investment approval are required. OCR's registration guidance refers to the applicable investment approval, passport or foreign-company incorporation documents, investment decision, authorization and related supporting records.
