How can a company change its registered office address?

A company can change its registered office by following the decision-making procedure required by the Companies Act and its constitutional documents and then recording the change with OCR.

Procedure

The company should generally:

  1. approve the new address through the appropriate corporate decision;
  2. prepare the required application and supporting documents;
  3. amend relevant company records where required;
  4. submit the address-change event through CAMIS;
  5. update other regulators, banks, tax records and licences where necessary.

OCR currently monitors whether changes in a company’s address have been properly registered or approved.

Practical point

Changing the physical office does not automatically update all government and commercial records. Tax, licensing, banking and contractual records may need separate updates.
