Can one person register a company in Nepal?

Yes. Nepal's Companies Act allows a person to establish a company alone, and a private company may have a single shareholder. The Act contains specific provisions for a single-shareholder company.

How a single-shareholder company works

A single-shareholder company is a private company with one shareholder. Subject to its Articles, it generally does not need to hold board meetings or general meetings merely to make decisions that would ordinarily be taken through those bodies. The single shareholder can make those decisions in writing as provided by the Act.

Incorporation documents

The Companies Act also provides a simplified rule where the sole founder accepts the prescribed form of Articles. OCR publishes specific forms for single-shareholder companies.

Important distinction

A one-person company remains a separate legal entity. Its property, obligations and contracts belong to the company, subject to the Companies Act and other applicable laws.
