What is a breach of contract?

Section 535 treats a contract as breached where a party fails to perform its obligation, communicates that it will not perform, or its conduct shows that it is unable to perform.[1]

Where the breach is substantial, the affected party can, subject to the statutory requirements, give notice and cancel the contract.
